Will the Digidesign DV Toolkit2 work with a M-Powered Pro Tools system?

No. The DV Toolkit is for LE versions of Pro Tools and HD systems only. It will not install on any M-Powered version of Pro Tools, regardless of the version (6.8-7.4, etc).
